Diebold, Inc.
Potential Class Action Investigation

Chimicles & Tikellis is investigating a potential class action lawsuit against Diebold on behalf of Diebold, Inc. shareholders. United Technologies Corporation has offered to acquire Diebold for $40 per share in cash, a 66% premium to Diebold's close on February 29, 2008. United Technologies first approached Diebold two years ago about a combination of the companies but Diebold refused to negotiate a sale of the Company. The current $3 billion offer by United Technologies was made privately to Diebold on Friday, February 29, 2007. Diebold publicly responded to United Technologies' offer on Monday, March 3, 2008 by refusing again to negotiate with United Technologies regarding a possible combination. Diebold called United Technologies' offer "opportunistic" and stated that it would be "irresponsible" for Diebold's Board to engage in discussions with United Technologies at this time. We believe the Diebold directors must explore and evaluate United Technologies' offer and any other bona fide offer to discharge their fiduciary duties.
